Terms of Service

Website terms and the baseline rules for evaluating and licensing Quote Analysis Tool (QAT).

Supplier: Haydn Maguire (“we”, “us”, “our”). Product: Quote Analysis Tool (QAT). Governing law: England and Wales. A signed proposal, licence, or maintenance agreement with a customer prevails over these website terms if there is a conflict.

1. Agreement to these terms

By accessing this website or submitting an enquiry, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the site.

If you evaluate or use QAT for an organisation, you confirm you have authority to bind that organisation to any commercial agreement later signed.

2. Website use

This site provides product information about QAT. Content is for general business information only and may change without notice. Screenshots and descriptions are illustrative; the licensed build and signed specification define deliverables.

  • You may browse and download publicly offered materials for internal evaluation.
  • You must not attempt to disrupt the site, scrape it aggressively, or misuse contact forms.
  • You must not imply endorsement or partnership without our written consent.

3. Enquiries and quotations

Submitting a licence or support form (or emailing us) is a request for information, not a binding contract. Prices, timelines, and scope become binding only when set out in a written proposal or agreement accepted by both parties.

Ballpark figures published in commercial materials are indicative only and exclude VAT unless stated otherwise.

4. Software licence (baseline)

Unless a signed agreement states otherwise, the following baseline applies to QAT licences we offer:

4.1 Grant

  • Non-exclusive, non-transferable right to use QAT internally at one licensed site / deployment (typically one PostgreSQL instance and associated Windows clients), for the licence term.
  • Use is limited to the customer’s own business operations at that site.

4.2 What is not included

  • Resale, sublicensing, SaaS hosting for third parties, or use by unrelated organisations;
  • Source code (unless separately agreed in writing);
  • Unlimited custom development;
  • Hardware, VM, Microsoft, or third-party licences (including any optional local LLM runtime).

4.3 Licence files, signatures, and tampering

A valid licence consists of a matched pair of files (typically qat_licence.json and qat_licence.sig) issued by us for your deployment. The signature cryptographically binds the licence contents to our issuing key.

Alteration voids the licence immediately. If either licence file is modified, truncated, substituted, or otherwise tampered with after issue — including changing dates, customer fields, deployment identifiers, or the signature — verification fails and the licence is treated as immediately expired / void. QAT will block normal use until a valid, unmodified signed licence pair is reinstalled. Accidental edits have the same effect as deliberate tampering; contact support for a re-issue.

You must not circumvent licence controls, share licence material outside the licensed organisation, or reverse engineer except where UK law expressly permits. We may supply installers, configuration guidance, and a documentation package with the licence.

4.4 Renewal

Annual licences renew as stated in the commercial agreement (commonly on notice before expiry). Failure to renew may require cessation of use at the end of the licensed period. A date-expired licence is separate from a tampered licence: both result in blocked use, but only a properly issued renewal or replacement file restores access.

4.5 Documentation package

Licensed deployments include a documentation package (user walkthroughs, deployment overview, and related guides) for the licensed site’s staff. Public summaries may appear on our Documents page; full customer packs are delivered at go-live / renewal as agreed.

5. Customer responsibilities

You are responsible for:

  • Providing accurate information during onboarding;
  • Hosting and securing your PostgreSQL server, backups, network, and Windows endpoints;
  • Assigning appropriate user roles and reviewing privileged access;
  • Keeping operating systems, browsers (if used), database engines, and endpoint protection up to date;
  • Configuring TLS and firewall rules consistent with deployment guidance;
  • Training users and controlling who may approve rates, quotes, or vault actions;
  • Your own compliance with employment, accounting, and data protection law for data you store in QAT.

6. Security and Cyber Essentials alignment

We design QAT and our deployment guidance to support the five Cyber Essentials technical control themes (boundary firewalls, secure configuration, access control, malware protection, and patch management). These terms do not constitute Cyber Essentials certification, nor a guarantee that any particular customer environment will pass an assessment. Certification remains the customer’s responsibility for their estate, with our software as one component.

Customers should, as a minimum:

  • Restrict database and admin access to trusted networks or VPN;
  • Use unique accounts, strong authentication, and least-privilege roles;
  • Enable and retain audit / access logs for an appropriate period (guidance: ≥ 12 months for security logs);
  • Maintain malware protection and timely OS/DB patching on all hosts running QAT components;
  • Have an incident response process (contain, preserve evidence, recover, review);
  • Test restores of database backups.

Report security issues affecting QAT to sales@nyx.uk with subject Security incident. Do not publicly disclose exploit details until we have had a reasonable opportunity to remediate.

7. Support and maintenance

Support scope, response expectations, included hours, and emergency rates are defined in the customer’s maintenance or support schedule. Website “Request Support” messages create an enquiry; they do not expand contractual SLAs by themselves.

We may provide updates and fixes under maintenance. You should apply updates in a controlled manner and keep a recoverable backup before upgrading production.

8. Intellectual property

QAT software, documentation, branding, icons, and website content remain our intellectual property (or that of our licensors). Licence grants use rights only — not ownership — unless a written agreement says otherwise.

Feedback you provide may be used to improve the product without obligation to you, provided we do not publish your confidential business data.

9. Acceptable use

You must not:

  • Use QAT to break the law or process unlawful content;
  • Attempt unauthorised access to other customers’ systems or our systems;
  • Disable security, licensing, or audit features except as we expressly permit for recovery;
  • Upload malware or conduct penetration testing against our public site without prior written consent;
  • Misrepresent QAT outputs as independently audited financial statements (QAT is an operational quoting tool).

10. Confidentiality

Each party must keep the other’s confidential information secure and use it only for performing the relationship (evaluation, licensing, support). Confidentiality continues after discussions end for so long as the information remains confidential, or as stated in a signed NDA.

11. Warranties

The website is provided “as is”. For licensed software, warranties (if any) are those expressly set out in the signed agreement — commonly limited to conforming to an agreed specification during a stabilisation period under maintenance.

We do not warrant uninterrupted operation, fitness for a particular financial outcome, or that QAT will meet every Cyber Essentials assessor’s interpretation without customer-side configuration.

12. Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under English law.

Subject to that, our total aggregate liability arising from website use is limited to £100. For licensed software, liability caps and exclusions in the signed commercial agreement apply (and typically exclude indirect loss, lost profits, and data loss where the customer failed to keep backups).

13. Suspension and termination

We may suspend website access or refuse enquiries that appear abusive. Software licences end on expiry, non-renewal, or termination under the commercial agreement (including material breach). On termination you must stop using the software and destroy or return confidential materials as required.

14. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.

15. General

  • Entire agreement (website): These terms plus the Privacy Policy cover website use.
  • Severability: If a clause is unenforceable, the remainder continues.
  • No waiver: Failure to enforce a right is not a waiver.
  • Assignment: You may not assign website rights; we may assign to a successor of our business.
  • Third parties: No third-party enforcement rights under the Contracts (Rights of Third Parties) Act 1999 unless expressly stated.
  • Changes: We may update these terms by posting a new version on this page. Material licence changes for existing customers require the process in their agreement.

These terms are a supplier baseline for transparency and procurement due diligence. They are not a substitute for a solicitor-reviewed contract for high-value or regulated deployments. Have your adviser review before relying on them for Cyber Essentials evidence packs or formal tenders.
